These License Terms of Legal Connect & Partners are established to protect intellectual property rights and to clearly define the permitted use of digital documents within an exclusive professional service.

1. Definitions

1.1 “Digital documents” shall mean all contracts, templates, formats, agreements, advice and other digital materials made available to the Client.
1.2 “Client” shall mean any natural person or legal entity to whom digital documents are provided.

2. Nature of the License

2.1 The Client is granted a limited, personal and revocable right to use the digital documents.
2.2 The license relates solely to the use as described in these Terms and does not constitute a transfer of ownership.

3. Scope of the Right of Use

3.1 The license grants the Client the right to use the digital documents for one specific file or transaction.
3.2 Such use may relate, inter alia, to:

  • real estate transactions;

  • business transfers;

  • investments and participations;

  • asset and corporate structures;

  • contractual documentation vis-à-vis third parties.

4. Non-Exclusivity & Non-Transferability

4.1 The license is non-exclusive.
4.2 The Client is not permitted to assign, sublicense or otherwise make the license available to third parties, in whole or in part, except for functional use within a specific file.

5. Intellectual Property

5.1 All intellectual property rights in the digital documents vest exclusively in the rights holder.
5.2 The structure, wording, design and content remain protected at all times.
5.3 Nothing in these Terms shall be construed as a waiver or transfer of intellectual property rights.

6. Restrictions & Prohibited Use

6.1 It is not permitted to:

  • copy the digital documents for other purposes;

  • use them as templates or standard documents;

  • reuse them in other files;

  • commercially exploit them;

  • resell or distribute them.

6.2 Any breach of this provision shall result in the immediate termination of the license.

7. Use Within Transactions & Files

7.1 Use of the digital documents vis-à-vis third parties is permitted solely for the execution of the relevant file.
7.2 Third parties do not acquire any independent right of use or license.

8. Term & Termination

8.1 The license shall remain in force for the duration of the relevant file or transaction.
8.2 The license shall automatically terminate upon completion thereof.
8.3 In the event of misuse or use in violation of these Terms, the license may be revoked with immediate effect.

9. Liability

9.1 Any use of the digital documents outside the scope of the granted license shall be entirely at the Client’s own risk.
9.2 Liability is limited in accordance with the General Terms and Conditions.

10. Relationship with Other Terms

10.1 These License Terms form an integral part of the General Terms and Conditions.
10.2 In the event of any conflict, the General Terms and Conditions shall prevail.

11. Final Provisions

11.1 If any provision is held to be invalid, the remaining provisions shall remain in full force and effect.
11.2 These License Terms apply worldwide.
