1. Applicability & Scope
1.1 These General Terms and Conditions apply to all offers, services, agreements and legal relationships between the service provider and its clients.
1.2 These terms apply to both business clients (B2B) and private clients (B2C), subject to mandatory consumer protection laws.
1.3 Deviations from these terms shall be valid only if agreed upon in writing.
2. Services & Positioning
2.1 The service provider operates as an exclusive, independent advisory firm and provides, among other things:
- legal and strategic advice;
- review and assessment of agreements;
- guidance in relation to investments and participations, including real estate;
- guidance in acquisition and sale processes of companies, assets and shareholdings;
- structuring of companies and assets;
- advisory services regarding inheritance law, succession and asset transfer;
- provision of digital documents.
2.2 The services are of an advisory and supportive nature.
3. Formation of the Agreement
3.1 An agreement is formed upon acceptance of an assignment or once performance has commenced with the client’s consent.
3.2 The service provider reserves the right to refuse assignments without stating reasons.
4. Client Acceptance & Screening
4.1 The service provider applies a selective client acceptance policy.
4.2 Client and assignment screening forms an integral part of the services.
4.3 Refusal or termination of the relationship does not entitle the client to any compensation.
5. Performance of the Services
5.1 The services shall be performed to the best of the service provider’s knowledge, expertise and due care.
5.2 The services constitute an obligation of best efforts and expressly not an obligation to achieve a specific result.
6. Digital Documents
6.1 Digital documents are provided for a fee as part of the services.
6.2 Digital documents are not sold in the sense of transfer of ownership.
6.3 The use of digital documents is subject to separate Terms of Use for Digital Documents and License Terms.
7. Intellectual Property & Usage Rights
7.1 All intellectual property rights remain vested in the service provider.
7.2 The client is granted solely a personal, non-transferable right of use.
8. Investments, Participations & Transactions
8.1 Guidance in relation to investments, participations and transactions is provided exclusively at an advisory and structuring level.
8.2 Participation in investments is undertaken at the client’s own account and risk.
8.3 The service provider provides no guarantees regarding returns.
9. Engagement of Third Parties
9.1 Where necessary, third parties may be engaged.
9.2 The service provider shall not be liable for any acts or omissions of third parties.
10. Communication & Information Provision
10.1 Communication may take place through digital and electronic means, including email, telephone, WhatsApp, Signal, and Zangi.
10.2 The client warrants the accuracy and completeness of the information provided.
11. Fees & Payment
11.1 Fees shall be agreed in advance or subsequently.
11.2 In the event of late payment, the service provider may suspend the provision of services.
12. Liability & Limitation
12.1 Liability is limited to direct damages only.
12.2 Liability is limited to a maximum of the fees paid by the client or the amount covered by insurance.
12.3 Indirect or consequential damages are excluded.
13. No Guarantee of Results
13.1 The service provider provides no guarantees with respect to outcomes or results.
14. Confidentiality & Asset Protection
14.1 All client information shall be treated as strictly confidential.
14.2 Files and documents may be kept confidentially without the involvement of third parties.
15. Termination of the Services
15.1 Termination may take place at any time in writing.
15.2 Obligations which by their nature are intended to continue shall remain in force.
16. Force Majeure
16.1 In the event of force majeure, the service provider shall not be liable.
17. B2B & B2C Provisions
17.1 For business clients, additional responsibilities and risks apply.
17.2 For private clients, mandatory statutory provisions shall remain applicable.
18. Governing Law & Disputes
18.1 The legal relationship shall be governed by the law of the service provider’s place of establishment.
18.2 Any disputes shall be submitted to the competent court in that jurisdiction.
19. Final Provisions
19.1 If any provision is invalid or unenforceable, the remaining provisions shall remain in full force and effect.
19.2 These General Terms and Conditions form an integral whole together with any supplementary terms and conditions.
